1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cronologix ("Company," "we," "our," or "us") governing your use of the Cronologix mobile application (the "App").

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

These Terms apply to all users of the App, including users of the free version and subscribers to premium features ("Pro").

2. Description of Service

Cronologix is a workflow timer application that allows users to:

• Create customizable workflow timers with blocks (timers, prompts, loops)
• Execute workflows with audio alerts, voice prompts, and haptic feedback
• Save and manage workflow configurations
• Access pre-built workflow templates
• Sync workflows to cloud storage (Pro feature)

The App is provided "as is" and is intended for personal productivity and time management purposes.

3. Eligibility

To use the App, you must:

• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the App under applicable laws

If you are under 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. Account and Registration

4.1 No Account Required

The App does not require account registration for core functionality. Your workflows and preferences are stored locally on your device.

4.2 Third-Party Authentication (Pro Feature)

If you choose to use cloud sync features, you will authenticate through Google. Your use of Google services is subject to Google's Terms of Service and Privacy Policy.

4.3 Your Responsibilities

You are responsible for:

• Maintaining the security of your device
• Any activity that occurs through your use of the App
• Backing up your workflow data

5. Free vs. Pro Features

5.2 In-App Purchases

Pro features are available through in-app purchases processed by:

• iOS: Apple App Store
• Android: Google Play Store

All payments are processed by the respective platform. We do not collect or store payment information.

5.3 Subscription Terms

If Pro is offered as a subscription:

• Subscriptions automatically renew unless cancelled
• Cancel at least 24 hours before the renewal date
• Manage subscriptions through your App Store or Google Play account
• No refunds for partial subscription periods

5.4 Refunds

Refund requests are handled by Apple or Google according to their respective policies:

6. User Content

6.1 Your Content

"User Content" includes workflows, configurations, descriptions, and any other content you create using the App.

You retain all ownership rights to your User Content. By using the App, you grant us a limited license to store and process your User Content solely to provide the App's functionality.

6.2 Content Restrictions

You agree not to create User Content that:

• Is illegal, harmful, or offensive
• Infringes intellectual property rights of others
• Contains malware or malicious code
• Violates any applicable laws or regulations

6.3 Content Responsibility

You are solely responsible for your User Content. We do not monitor, review, or endorse User Content.

7. Acceptable Use

7.1 Permitted Use

You may use the App for lawful, personal, non-commercial purposes in accordance with these Terms.

7.2 Prohibited Conduct

You agree NOT to:

• ❌ Reverse engineer, decompile, or disassemble the App
• ❌ Modify, adapt, or create derivative works of the App
• ❌ Remove or alter any proprietary notices or labels
• ❌ Use the App to develop a competing product
• ❌ Circumvent any technological measures protecting the App
• ❌ Use automated systems (bots, scrapers) to access the App
• ❌ Interfere with or disrupt the App's operation
• ❌ Attempt to gain unauthorized access to any systems
• ❌ Use the App for any illegal or unauthorized purpose
• ❌ Sublicense, sell, or transfer your rights to use the App

7.3 Violation Consequences

Violation of these Terms may result in:

• Termination of your access to the App
• Loss of Pro features without refund
• Legal action if warranted

8. Intellectual Property

8.1 Our Intellectual Property

The App, including its design, features, code, graphics, icons, and content (excluding User Content), is owned by Cronologix and protected by copyright, trademark, and other intellectual property laws.

The Cronologix name, logo, and related marks are trademarks of Cronologix. You may not use these without prior written permission.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on your personal device(s)
• Use the App for personal, non-commercial purposes
• Access features according to your subscription level

This license does not include the right to:

• Modify or copy the App's source code
• Use the App for commercial purposes without permission
• Transfer the license to another party

8.3 Template Content

Pre-built workflow templates are provided for your use within the App. You may modify and use these templates for personal purposes but may not redistribute them outside the App.

9. Privacy and Data

Your privacy is important to us. Please read our Privacy Policy to understand how we collect, use, and protect your data.

Key Points:

• All workflow data is stored locally on your device by default
• We don't track your usage or sell your data
• Google Drive sync is optional and only for Pro users
• You can export and delete your data at any time

10. Disclaimers and Limitations of Liability

10.1 No Warranty

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS
• UNINTERRUPTED OR ERROR-FREE OPERATION

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRONOLOGIX SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruption or inability to use the App
• Unauthorized access to your data
• Any third-party conduct or content
• Any errors or omissions in content

10.3 Liability Cap

IF, NOTWITHSTANDING THE ABOVE, CRONOLOGIX IS FOUND LIABLE, OUR TOTAL LIABILITY SHALL NOT EXCEED:

• The amount you paid for Pro features in the 12 months preceding the claim, OR
• Fifty US Dollars ($50 USD), whichever is greater

10.4 Use at Your Own Risk

Cronologix is a timer app, not medical or professional advice. Don't rely on it for critical time-sensitive tasks (e.g., medical procedures, flight departures). Always use additional backup timers for important events.

11. Third-Party Services

Cronologix may integrate with third-party services:

• Google Drive: Cloud backup (Pro feature) - governed by Google's Terms of Service
• Apple App Store / Google Play Store: App distribution and in-app purchases

We're not responsible for third-party services or their terms. Use them at your own risk.

12. Term and Termination

12.1 Term

These Terms are effective until terminated by either party.

12.2 Termination by You

You may terminate by:

• Uninstalling the App from your device(s)
• Cancelling any active subscriptions

12.3 Termination by Us

We may terminate or suspend your access immediately, without prior notice, if you:

• Breach these Terms
• Engage in fraudulent or illegal activity

12.4 Effect of Termination

Upon termination:

• Your license to use the App ends immediately
• You must delete all copies of the App
• Provisions that should survive termination will survive (including Sections 6, 8, 9, 10, 11, 14, 15)

12.5 Data After Termination

• Local data is deleted when you uninstall the App
• Cloud sync data remains in your Google Drive until you delete it
• We do not retain copies of your User Content

13. Updates and Modifications

13.1 App Updates

We may update the App to:

• Fix bugs and improve performance
• Add or remove features
• Address security vulnerabilities
• Comply with legal requirements

Updates may be automatic or require manual installation. Continued use after updates constitutes acceptance of changes.

13.2 Terms Modifications

We may modify these Terms at any time. When we do:

• We'll update the "Last Updated" date at the top
• We'll notify you via in-app notification
• Continued use of the App after changes means you accept the new Terms

If you don't agree to the new Terms, you must stop using Cronologix.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at hello@cronologix.app to attempt informal resolution. We will try to resolve disputes within 30 days.

14.2 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

14.3 Arbitration Agreement

FOR USERS IN THE UNITED STATES:

Any dispute arising from these Terms or your use of the App shall be resolved through binding arbitration, except:

• Small claims court actions
• Injunctive relief for intellectual property violations

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA).

CLASS ACTION WAIVER: You agree to resolve disputes individually and waive any right to participate in class actions.

14.4 EU Users

If you are an EU consumer, you have the right to bring proceedings in your country of residence. Nothing in these Terms affects your statutory rights.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Health & Safety Disclaimer, constitute the entire agreement between you and Cronologix regarding the App.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

15.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except that Apple and Google are third-party beneficiaries as app store providers.

15.6 Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control (natural disasters, war, terrorism, pandemics, government actions, etc.).

16. Platform-Specific Terms

16.1 Apple App Store

If you downloaded the App from the Apple App Store:

• These Terms are between you and Cronologix, not Apple
• Apple has no obligation to provide maintenance or support
• Apple is not responsible for product warranties or claims
• Apple is not responsible for addressing any claims related to the App
• Apple is a third-party beneficiary of these Terms

16.2 Google Play Store

If you downloaded the App from Google Play:

• These Terms are between you and Cronologix, not Google
• Google has no obligation to provide maintenance or support
• Google is not responsible for product warranties or claims
• Google is a third-party beneficiary of these Terms

BY USING CRONOLOGIX, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTOOD THEM, AND AGREE TO BE BOUND BY THEM.
